1. Scope, legal effect and acceptance
These Terms of Use apply to the LUMIFOLD portal operated by UESE ITALIA S.p.A. and to all public or restricted functions made available through the domain, including architectural-cladding and habitable-container content. By using interactive functions, sending an RFQ, uploading documents or downloading technical resources, the user agrees to comply with these Terms together with the Privacy Policy, Cookie Policy, Legal Notice and, where a commercial relationship is formed, the General Terms of Supply and the applicable quotation/order documentation.
Browsing public pages does not by itself create a sales, distribution, agency, consultancy, design or partnership relationship. In case of inconsistency, a duly issued and accepted quotation, order confirmation or individually negotiated written agreement prevails over generic website content.
2. Professional/B2B nature and authority to act
The portal is primarily addressed to architects, engineers, façade consultants, contractors, developers, hospitality operators, purchasing departments, distributors and other professional users. A person acting on behalf of an organisation represents that he or she has appropriate authority to transmit business and project information and to request commercial contact in that organisation's name.
Where a user is not acting in a professional capacity, any mandatory consumer or other statutory protections that cannot lawfully be excluded remain unaffected; nothing in these Terms is intended to waive such rights.
3. Portal functions and informational character
The portal may provide product descriptions, technical concepts, renders, 3D images, indicative dimensions, finish collections, logistics information, downloadable sheets, news, newsletter subscription, contact forms, RFQ workflows and other professional resources. These functions may evolve as product development, industrialisation, certification activities, supply chains and regulatory requirements evolve.
Unless specifically identified as a contractual or certified document for a defined order, website content is general information and does not constitute a binding specification, declaration of performance, design approval, building permit, structural calculation, shop drawing, installation sign-off or warranty statement.
4. Access, authentication and security
Where restricted functions or credentials are provided, users must keep credentials confidential, use them only for authorised purposes and promptly report suspected compromise. Credential sharing, unauthorised access to administrative functions, privilege escalation, circumvention of security controls or attempts to obtain data belonging to other users are prohibited.
UESE may temporarily restrict or suspend access where reasonably necessary for security, maintenance, incident management, abuse prevention, legal compliance or protection of users and systems.
5. RFQ forms, technical uploads and user-provided content
Users submitting drawings, CAD/BIM files, floor plans, images, spreadsheets, specifications or other attachments represent that they are entitled to disclose those materials to UESE and that such disclosure does not unlawfully infringe copyright, trade secrets, confidentiality duties, export restrictions, security classifications or personal-data rights.
Users should minimise personal data in technical files and avoid special-category, criminal, identity-document, password, credential or other unnecessary sensitive information. Files must not contain malware, executable payloads, hidden harmful content or unlawful material. UESE may reject, quarantine or delete files that create security, legal or operational risk.
Submission grants UESE a limited, non-exclusive right to access, copy and internally use the material solely to assess the request, prepare technical/commercial proposals, verify feasibility, coordinate authorised suppliers/advisers and, if a contract follows, perform that contract, subject to confidentiality and data-protection obligations.
6. Requests for quotation and commercial proposals
An RFQ is an invitation to evaluate a potential supply and is not a purchase order or acceptance of any price. Automated acknowledgements merely confirm receipt. Prices, lead times, transport costs, duties, taxes, quantities, BASE/GOLD finish classes, container configurations, Incoterms, installation scope and availability remain non-binding until set out in a formal quotation or order confirmation.
Quotations may be subject to technical validation, minimum order quantities, sample approval, engineering review, destination-country requirements, credit approval, production capacity, transport feasibility and specific validity periods. Conditions stated in the quotation prevail for the relevant transaction.
7. Technical documents, CAD/BIM and downloads
Downloadable technical documents are made available for legitimate evaluation, specification, coordination and preliminary design involving LUMIFOLD products. Revision status must always be checked. Unless expressly labelled otherwise by UESE, documents are not "for construction", "shop drawings", "as built" or final certified product documentation.
Users remain responsible for independent professional verification of interfaces, substrates, loads, tolerances, fire strategy, corrosion environment, electrical design, foundations, utilities, transport route, lifting and local regulatory requirements applicable to the specific project.
8. Intellectual and industrial property
Names, marks, logos, graphic identity, texts, renders, photographs, technical concepts, drawings, details, downloadable files, software, databases, know-how and other materials are protected by applicable intellectual-property and unfair-competition rules and belong to UESE or its licensors.
Except for the limited professional-use licence described above, no licence is granted to manufacture, reverse engineer, reproduce commercially, create competing products, remove branding/watermarks, resell documentation, train competing technical models on protected drawings, or imply ownership or endorsement. Any broader use requires prior written authorisation.
9. Acceptable-use rules
Users must not use the portal for fraud, unlawful solicitation, spam, denial-of-service activity, aggressive scraping, credential harvesting, automated extraction intended to replicate the database, unauthorised vulnerability testing, malware distribution, circumvention of upload or rate limits, infringement of third-party rights, or conduct capable of damaging UESE, LUMIFOLD, other users or infrastructure.
10. External links, third-party resources and integrations
Links to third-party websites or external technical resources may be provided for convenience. Unless expressly stated, UESE does not control those services and does not guarantee their ongoing availability, content, cybersecurity, privacy practices or contractual conditions. Users should review the third party's own terms and policies.
11. Privacy, cookies and electronic communications
Personal-data processing is described in the Privacy Policy and, for quotation workflows and technical attachments, in the dedicated RFQ Privacy Notice. Cookie and similar-technology use is described in the Cookie Policy. Optional tracking technologies, if introduced, are subject to the applicable consent controls and can be managed through the cookie-preference interface.
Newsletter or promotional communications are sent only where a valid legal basis exists and can be stopped using the provided unsubscribe mechanism or by contacting UESE.
12. Availability, maintenance and changes to digital functions
UESE seeks to maintain appropriate availability but does not warrant uninterrupted operation. Maintenance, cybersecurity events, hosting failures, force majeure, network disruptions or lawful suspension may temporarily affect access. UESE may modify or discontinue non-contractual digital functions while taking reasonable account of active business processes.
13. Product, engineering and conformity disclaimer
Product renders and general technical pages do not replace project-specific engineering. Performance, reaction/resistance to fire, wind or structural loads, anchoring, thermal/acoustic values, durability, corrosion category, electrical compatibility, transport configuration, foundations, utilities, accessibility and regulatory compliance depend on the final product configuration, destination and project conditions.
Corporate management-system certifications held by UESE must not be represented as product certification. CE marking, Declaration of Performance, ETA, test reports, CSC documentation or other conformity evidence apply only where legally required/applicable and where specifically issued for the relevant product/configuration.
14. Limitation of liability for website use
To the maximum extent permitted by mandatory law, UESE is not responsible for loss arising from reliance solely on general website information without project-specific validation, from unauthorised modification of downloaded files, from third-party systems, or from user failure to verify revision status and applicable requirements. Nothing excludes liability that cannot lawfully be excluded, including liability arising from wilful misconduct or other mandatory grounds.
Contractual liability relating to actual supplies is governed by the applicable contract and General Terms of Supply rather than this website-use clause.
15. User responsibility for submitted material and misuse
The user remains responsible for the legality, accuracy and rights status of submitted information and for use of portal materials within the granted licence. Where permitted by applicable law, an organisation may be required to hold UESE harmless against third-party claims directly caused by that organisation's unlawful upload, infringement or intentional misuse of the portal, without prejudice to mandatory rules and any specific negotiated allocation of liability.
16. Amendments, document control and severability
UESE may update these Terms to reflect legal, technical, security or organisational developments. The current version and effective date are shown on this page. Material changes affecting ongoing contractual relationships are governed by the relevant contract rather than retroactively altering agreed commercial terms.
If any provision is invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible.
17. Governing law and jurisdiction
Website use and these Terms are governed by Italian law, without prejudice to overriding mandatory rules. For professional/B2B users, disputes relating specifically to use of the portal are subject, to the extent legally permissible, to the competent courts of Milan, Italy. Supply disputes are governed by the dispute-resolution clause in the applicable quotation, order or General Terms of Supply.
